1. Eligibility and Legal Compliance

1.3 Human Trafficking and Coercion Safeguards

All creators must affirm and warrant that:
They are participating voluntarily.
They are not being coerced, trafficked, manipulated, or forced by any third party.
They are not facilitating, assisting, or connected to any trafficking or exploitation operations.
They fully understand the nature of adult content production and consent to participation knowingly and voluntarily.
The Company reserves the right to terminate participation immediately if any concerns regarding coercion, trafficking, or unlawful conduct arise.
2. Nature of Services
The Company operates as an adult content production and distribution agency. Content may include explicit or mature material intended only for consenting adults.
By applying or participating, creators acknowledge that:
They are aware of the adult nature of the content.
They fully understand the professional implications of adult content creation.
They are entering into this profession voluntarily and knowingly.
They assume responsibility for personal, social, reputational, and professional consequences.
3. Intellectual Property Ownership
3.1 Company Ownership
All content created, produced, filmed, edited, directed, conceptualized, or distributed through the Company — including but not limited to:
Photos
Videos
Audio recordings
Digital media
Promotional materials
Derivative works
Branding elements
Scripts and creative concepts
shall be the sole and exclusive property of the Company.
Creators expressly acknowledge and agree that they do not retain ownership rights to any content created under contract with the Company.
3.2 Assignment of Rights
By participating in Company programs, creators irrevocably assign to the Company:
All copyrights
All intellectual property rights
All rights of reproduction
All rights of distribution
All rights of display
All rights of modification
All derivative rights
All commercial rights worldwide
This assignment is perpetual and irrevocable.
4. Prohibited Use and Unauthorized Distribution
Creators and users are strictly prohibited from:
Reproducing Company content
Republishing Company content
Distributing content outside authorized platforms
Selling or licensing Company content independently
Sharing raw footage or behind-the-scenes material
Posting Company-owned content on personal accounts without written authorization
Any unauthorized reproduction, distribution, or dissemination of Company intellectual property will result in:
Immediate removal from all Company programs
Forfeiture of all unpaid compensation
Termination of contractual agreements
Potential civil legal action for damages
Injunctive relief
Recovery of attorney’s fees where applicable
5. Compensation and Forfeiture
Compensation structures are defined in individual creator agreements.
However, the Company reserves the right to withhold or recover compensation if a creator:
Violates intellectual property provisions
Misrepresents eligibility or identity
Engages in unlawful conduct
Breaches confidentiality agreements
Participates in unauthorized distribution of Company content
6. Confidentiality
All non-public information, trade secrets, operational methods, client data, financial arrangements, and business practices are confidential.
Creators agree not to disclose confidential information during or after their association with the Company.
7. Termination
The Company reserves the right to terminate participation at any time for:
Breach of these Terms
Legal non-compliance
Misrepresentation
Violations of intellectual property provisions
Conduct that harms the Company’s reputation or business interests
Termination does not eliminate the Company’s ownership of intellectual property created during participation.
8. Indemnification
Creators agree to indemnify and hold harmless the Company from any claims, damages, liabilities, or losses arising from:
Misrepresentation of age or eligibility
Unauthorized use of Company content
Violation of applicable laws
Third-party claims resulting from creator misconduct
9. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for:
Indirect or consequential damages
Reputational impacts resulting from adult content participation
Third-party platform policies or account removals
10. Governing Law
These Terms shall be governed by the laws of the United States and the state of performance of duties, which should be researched by the performer prior to engagement in any contractual agreement, without regard to conflict of law principles.
11. Modifications
The Company reserves the right to modify these Terms at any time. Continued participation constitutes acceptance of revised Terms.
12. Entire Agreement
These Terms, along with any executed creator agreements, constitute the entire agreement between the parties and supersede all prior discussions or representations.
